FEI Investor Portal - Terms & Conditions

1. Definitions

“Confidential Information” means any information designated as confidential by the Fund or its General Partner, including all documents and data accessed via the Portal.
“Cygnum Capital” means Cygnum Capital Asset Management Limited and its affiliates.
“Fund” means FEI-ONGRID LP.
“Portal” means the Fund Investor Portal and all content acts as a channel for providing portfolio, fund operations and governance information to various stakeholders in the Fund, including Lenders and Limited Partners. Access is granted to these stakeholders by means of a password protected account on request.  Users are welcome to review and download various fund documents, and services provided through it.
“User” means any individual or entity granted access to the Portal.

2. Acceptance of Terms

By registering for and using the Portal, you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Portal.

3. Eligibility and Access

Access to the Portal is restricted to authorised stakeholders (including Limited Partners, Lenders, and their representatives) who have been granted login credentials by the Fund. You must keep your credentials secure and notify the Fund immediately of any unauthorised access.

4. Permitted Use

You may use the Portal solely for the purposes of reviewing information relating to the Fund and your investment. You must not:

Share your login credentials with any other person.
Use the Portal for any unlawful or unauthorised purpose.
Attempt to gain unauthorised access to any part of the Portal or its systems.

5. Confidentiality

All information provided through the Portal is confidential and subject to the confidentiality obligations set out in clause 21.3 of the Limited Partnership Agreement (LPA), which are incorporated by reference. In summary:

You must not disclose Confidential Information without the prior written consent of the General Partner, except as expressly permitted by the LPA.
Lenders accessing the Portal agree to be bound by the same confidentiality obligations as Limited Partners, as set out in the LPA.
These confidentiality obligations remain in effect until the final liquidation of the Fund or as otherwise notified in writing by the Fund.
Any unauthorised disclosure or use of confidential information may result in immediate suspension or termination of Portal access and may give rise to legal action, including claims for damages or injunctive relief.

6. Security

We implement appropriate technical and organisational measures to protect your data and the integrity of the Portal. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

7. Limitation of Liability

The Portal and its content are provided “as is” and “as available”. While we endeavour to ensure accuracy, we do not warrant that the information is complete, accurate, or up to date. To the fullest extent permitted by law, neither the Fund nor Cygnum Capital shall be liable for any loss or damage arising from your use of the Portal or reliance on its content.

8. Amendments

We reserve the right to amend these Terms & Conditions at any time. Material changes will be notified to users via email or Portal notice. Continued use of the Portal after changes are notified constitutes acceptance of the revised terms.

9. Termination

We may suspend or terminate your access to the Portal at any time, with or without notice, if you breach these Terms & Conditions or for security or operational reasons.

10. Governing Law and Jurisdiction

These Terms & Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
